Upcoming Changes at Companies House: What Your Business Needs to Know

Writer: Tracy IrvineTracy Irvine

Companies House is introducing significant reforms aimed at enhancing the integrity of the UK’s corporate register. These changes are designed to improve transparency, prevent fraud, and create a more trustworthy business environment. As a business owner, director, or agent, it is crucial to understand what these updates mean for you and how to ensure compliance.

Mandatory Identity Verification

One of the most important changes is the introduction of mandatory identity verification for:

  • Company directors

  • People with Significant Control (PSCs)

  • Anyone filing on behalf of a company

  • Members of Limited Liability Partnerships (LLPs)

  • Authorised agents

This means that anyone taking on one of these roles will need to verify their identity before being appointed or filing documents with Companies House. The verification process will be a one-time requirement unless a person’s details change.

Identity Verification for New Company Setups

As part of the new regulations, anyone involved in setting up a new company must complete identity verification before the company can be incorporated. This includes all directors and PSCs at the time of incorporation. Failure to complete verification will result in delays or rejections of the company registration process.

Key Dates to Be Aware Of

  • 25 March 2025: Voluntary identity verification will become available.

  • Autumn 2025: Mandatory verification will be required for new company incorporations.

  • By the end of 2026: All existing directors and PSCs must have completed verification within a 12-month transition period.

Why Keeping Your ID Up to Date Matters

What This Means for Your Business

These reforms give Companies House greater powers to query and reject incorrect or suspicious filings. This makes it essential for businesses to ensure all their records are accurate and up to date. Companies that fail to comply with these new requirements may face delays, penalties, or restrictions on their operations.

By taking proactive steps now, you can ensure your business remains compliant and avoid last-minute issues when the new rules come into force.
